California Filing Updates

08/14/13 - Watch out for a continuing scam that is targeting California Corporations & LLCs.  Corporate Business Filings, a private company is sending suspicious governmental-looking forms to INC/LLC owners requesting $225 or face penalties or even suspension by the state.  Their form and offering is deceptive and we are calling it a scam.

07/15/13 - Filing times have improved dramatically.

Expected Processing Times (as of 7/15/13):
> Standard (non-Expedited) - 1 month, maybe more
> Expedited (over-the-counter) - 1 - 1.5 weeks
> RUSH Service - 24 hours

01/02/13 - The Secretary of State of California has finally updated its state filing forms, which were required because of the earlier changes to its rules, which affect all new corporation and limited liability company filings (see 11/21/12 update).  So, now all new filings continue.  However, expect BIG delays, perhaps worse than 

every previous year, in all filings. 

Expected Processing Times (after January 2nd):
> Standard (non-Expedited) - 2 to 3 months, or more
> Expedited (over-the-counter) - 1 month
> RUSH Service - 24 hours

11/21/12 - The State of California has changed some of its rules, which will affect all new corporation and limited liability company filings, as well as filings for existing entities that are filed with the California Secretary of State’s office after January 1, 2013. 

Here are the changes:


New Filing Changes (Eff. 1/1/2013)

Entity and Agent Addresses


All formation/registration documents must include the business entity street address and mailing address.  These are currently not required.

All foreign corporation and foreign limited liability company registration documents must include the street address of the principal business office address in California, if one exists

All documents listing a registered agent must include the agent’s California street address.  A post office box address for an agent for service of process will not be accepted on any document.

Future File Date Requests


All future file date requests for corporation and limited liability company documents must be included within the document submitted or as an attachment to be made part of the filed document.

Copy Requests


The Secretary of State will no longer endorse and certify customer-provided copies. However, a customer who submits documents with a filing fee of $25.00 or more will receive one (1) uncertified copy of the documents for free and, at the time of filing, the free copy may be certified for a $5.00 certification fee.


Customers requesting additional copies will be charged $1.00 for the first page and $0.50 for each additional page. Each certified copy requires an additional $5.00 certification fee.
